Terms of Service
Welcome to Axotec Digital LLC ("Company", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of our website, applications, products, services, and digital platforms (collectively, the "Services").
By using our Services, you agree to be bound by these Terms and our Privacy Policy. “Terms apply” notices and promotional claims referencing our offerings refer back to this Terms of Service document. If you do not agree, do not use our Services.
1. Services Overview
Axotec Digital LLC provides digital solutions including, but not limited to:
Website and app development
Online ordering systems
Marketing automation
Payment processing integration
Business consulting and digital transformation support
Some services may be offered under subscription plans, while others may involve one-time setup or onboarding fees.
2. Eligibility
You must be at least 18 years old or have legal authority to enter into agreements on behalf of a business or organization. You are responsible for providing accurate and complete business information during onboarding.
3. Billing, Invoicing, and Payment Terms
Definition of “Week”
For the purposes of all billing and scheduling, the term “week” or “weekly” refers to a 7-day billing cycle, starting each Monday at 12:00 AM (local time) unless otherwise specified.
Definition of “Month”
For the purposes of all billing and scheduling, the term “month” or “monthly” refers to a 4 weeks billing cycle, equivalent to 28 days. This results in 13 billing cycles per calendar year, unless otherwise specified.
Definition of “Year”
For the purposes of all billing and scheduling, the term “year” or “yearly” refers to the calendar year beginning January 1st and ending December 31st. A “year” may contain 13 billing cycles if Services are billed on a 28-day basis.
Subscriptions
Our organization operates on 4 week billing cycle.
Subscription plans are billed every 28 days, beginning from the contract start date.
These charges are recurring and continue until canceled in writing, with at least 7 days’ notice before the next billing cycle.
Each 28-day cycle constitutes one billing “month” for all service terms.
Delivery Fees
If your plan includes delivery services, a weekly delivery service fee is calculated based on deliveries made in the prior week.
Delivery fees are billed every Monday.
Invoicing
Invoicing structure may vary based on service scope, plan type, or usage volume.
Any additional or overage charges outside of base plans will be invoiced separately.
Late Payments
Payments are due on the invoice due date.
If any payment remains unpaid for more than 30 days, Axotec Digital LLC reserves the right to suspend or pause all active Services until the balance is resolved.
Continued non-payment may result in termination of service and referral to collections.
4. Ownership & License
Unless otherwise agreed in writing:
All proprietary software, templates, backend systems, and integrations provided by Axotec Digital LLC remain our intellectual property.
You are granted a limited, non-exclusive, non-transferable license to use our Services during your active subscription period.
Custom assets (logos, media, or content provided by you) remain your property.
5. Client Responsibilities
You agree to:
Use the Services only for lawful purposes
Not resell or sublicense our platforms unless approved in writing
Maintain secure login credentials and prevent unauthorized access
Comply with all applicable local, state, national, and international laws
6. Third-Party Services
We may integrate with third-party services such as Stripe, Uber Direct, DoorDash Drive, Shipday, etc. Your use of those services is governed by their respective terms and policies.
Axotec Digital LLC is not responsible for the availability or performance of third-party services.
7. Limitation of Liability
To the maximum extent permitted by law, Axotec Digital LLC is not liable for:
Loss of data, profits, or revenue
Service interruptions or errors caused by third-party platforms
Any damages exceeding the amount paid by you to us in the 3 months prior to the claim
8. Termination
We reserve the right to suspend or terminate your access to the Services if:
You breach these Terms
Non-payment of invoices
We suspect fraudulent or unlawful use
Upon termination, your license to use the Services ends immediately.
9. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notification. Continued use after updates means you accept the new Terms.
